Employee stock options are a key tool for startups to retain talented teams over the long term and allow them to share in the company’s success. Especially during the growth phase, when financial resources are often limited, they offer an attractive way to motivate employees and create incentives without straining liquidity.
This presentation introduces practical models—from ESOPs and VSOPs to profit-sharing rights—and examines the legal and tax advantages and disadvantages of each. The focus is on determining which model is suitable for which stage of the company’s development and what to consider during implementation.
Particular emphasis is placed on profit-sharing rights: They are presented as a viable, legally and fiscally advantageous alternative that avoids many of the typical drawbacks of traditional equity models. Using practical examples, the presentation highlights specific structuring options and implementation strategies.
